Terms of Service

These Terms constitute a legally binding agreement between you ("User," "Customer," "you," or "your") and MarketVog. You accept and agree to these Terms by visiting the MarketVog website; creating an account; subscribing to any service or plan; accessing, installing, or using any Platform feature; or accepting these Terms through any click-through or electronic mechanism.

If you are using the Platform on behalf of a business, organization, or other legal entity, you represent and warrant that you have full legal authority to bind that entity to these Terms, in which case "you" and "your" refer to that entity. If you do not have such authority, you must not use the Platform on that entity's behalf.

Use of MarketVog is conditioned upon unconditional acceptance of these Terms and all policies incorporated herein by reference, including the Privacy Policy and Cookie Policy.

MarketVog is an AI Marketing Operating System (AI-MOS) designed to support businesses with marketing coordination, strategy generation, AI-assisted content creation, scheduling, automated publishing, outreach, analytics, and related marketing workflows. The Platform operates as intelligent marketing infrastructure applying artificial intelligence, machine learning, and automation to support marketing execution.

Platform capabilities may include, without limitation:

• Business context analysis and intelligence profiling
• Market research, competitive analysis, and trend detection
• AI-generated marketing strategy and campaign planning
• AI-assisted content creation across multiple formats and channels
• Content scheduling and automated publishing
• Outreach campaign generation and growth workflow support
• Analytics, performance tracking, and reporting tools
• Workflow automation, coordination, and process management
• Additional AI-powered features as the Platform evolves over time

MarketVog is intended to function as operational software infrastructure. It is not a substitute for professional legal, financial, or business advisory services. Platform capabilities may change as we improve and expand our systems.

To create an account and use MarketVog, you must:

• Be at least 18 years of age, or at least 16 years of age if using the platform under the supervision or on behalf of a business or organization.
• Have the legal capacity and authority to enter binding contracts
• Provide accurate, current, and complete registration information
• Not be prohibited from using the Platform under applicable law
• Not have a previously terminated MarketVog account due to Terms violations

MarketVog reserves the right to verify eligibility, deny access, suspend, or terminate accounts where eligibility requirements are not met or where registration information is found to be inaccurate, incomplete, or misleading.

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password and any multi-factor authentication methods. You agree to:

• Use a strong, unique password for your MarketVog account
• Never share your account credentials with any third party
• Immediately notify MarketVog of any unauthorized access or suspected security breach
• Maintain accurate and up-to-date account information at all times
• Log out of your account after each session on shared or public devices

You are responsible for all activity conducted under your account, whether or not authorized by you. MarketVog is not liable for losses or damages resulting from unauthorized account use caused by your failure to safeguard your credentials or comply with security best practices.

MarketVog incorporates artificial intelligence, machine learning, large language model (LLM) technologies, predictive processing systems, and intelligent automation workflows. Understanding the nature and limitations of these systems is essential before using the Platform.

Nature and Limitations of AI Outputs. AI-generated outputs — including recommendations, content drafts, strategy suggestions, analytics, and automation results — are generated by machine learning models trained on large datasets. These outputs are probabilistic, not deterministic, and may:

• Contain factual errors, inaccuracies, hallucinations, omissions, or outdated information
• Vary in quality, tone, or relevance depending on input quality and context provided
• Produce different results for identical or similar inputs due to model stochasticity
• Reflect biases inherent in AI training data that may affect output quality
• Generate content that requires significant editing, revision, or may be unsuitable for your specific audience
• Fail to account for recent market developments, real-time information, or jurisdiction-specific requirements
• Not automatically comply with industry-specific regulations, advertising standards, or legal requirements without human review

No Professional Advice. Nothing generated or provided by MarketVog — including AI outputs, strategy recommendations, market analyses, content suggestions, or any other Platform output — constitutes professional legal advice, financial advice, investment advice, medical advice, tax advice, or any other form of regulated professional guidance. Users requiring expert professional advice must consult qualified licensed professionals independently.

User Responsibility for All AI Outputs. Users are solely and entirely responsible for reviewing, editing, fact-checking, and approving all AI-generated content, recommendations, and automation outputs before any business use, publication, distribution, or deployment. MarketVog provides AI tools as productivity and execution support mechanisms — not as sources of guaranteed factual information or authoritative business guidance.

AI Providers and Model Changes. MarketVog may utilize third-party AI providers, language model APIs, and technology vendors to power Platform functionality. We reserve the right to change, update, replace, or discontinue any AI models, providers, or underlying technologies at any time without prior notice. Such changes may affect the characteristics, behavior, or quality of AI-generated outputs.

Autonomous and Automated Mode Responsibility. If the Platform offers autonomous or automated publishing, outreach, or execution features, users who activate such features bear full and sole responsibility for all actions taken by automated systems on their behalf, including all published content, distributed communications, and automated interactions. Users must configure automated features thoughtfully and maintain active, ongoing oversight of all automated workflows at all times.

Users are responsible for ensuring that their use of the Platform is lawful, ethical, and compliant with all applicable laws, regulations, and third-party platform policies. You agree to use MarketVog in compliance with:

• All applicable federal, state, and local laws and regulations
• Advertising standards, marketing regulations, and consumer protection laws
• Data protection and privacy regulations applicable to your jurisdiction and target audience
• Intellectual property rights and all relevant licensing terms
• Terms of service of all third-party platforms and services you interact with via MarketVog

You remain solely responsible for all business decisions, marketing activities, campaign deployments, content published, and commercial outcomes arising from your use of the Platform. MarketVog provides infrastructure, tools, and workflow support — it does not assume responsibility for how outputs are used or what business or financial decisions users make.

Users may not use MarketVog for any purpose that is unlawful, harmful, abusive, or otherwise prohibited under these Terms. Prohibited uses include, without limitation:

• Violating any applicable law, statute, or regulation
• Creating, distributing, or promoting illegal, fraudulent, or deceptive marketing content
• Infringing the intellectual property rights of any third party
• Distributing malware, viruses, or any harmful code or software
• Engaging in harassment, hate speech, discrimination, or abusive conduct toward any person or group
• Distributing spam, unsolicited bulk messaging, phishing communications, or deceptive outreach
• Scraping, manipulating, or abusing Platform infrastructure, APIs, or system resources
• Reverse engineering, decompiling, or attempting to copy proprietary workflows, AI systems, or source code
• Bypassing security controls, exploiting vulnerabilities, or attempting to gain unauthorized access
• Sharing account access or credentials in violation of these Terms
• Creating disproportionate system load, conducting denial-of-service activities, or interfering with Platform operations
• Generating content designed to deceive, manipulate, impersonate, or defraud users, consumers, or third parties
• Using Platform outputs or AI systems to train competing AI models or replicate proprietary Platform functionality

MarketVog reserves the right to investigate suspected violations, suspend or terminate access without prior notice, and cooperate with law enforcement where necessary to protect the Platform, its users, and the public.

Users may upload, submit, or provide business information, files, content, instructions, campaign materials, and other inputs to operate the Platform (collectively, "User Content"). You retain ownership of your original User Content.

By submitting User Content to the Platform, you grant MarketVog a non-exclusive, worldwide, royalty-free license to access, store, process, analyze, transmit, and display your User Content solely as necessary to provide and improve the Platform services you have requested. This license terminates when you delete User Content or close your account, subject to reasonable technical retention periods and applicable legal obligations.

You represent and warrant that all User Content you submit:

• Is owned by you or you hold all necessary rights, licenses, and permissions to use it as contemplated
• Does not infringe any third-party intellectual property, privacy, publicity, or other rights
• Does not contain illegal, harmful, defamatory, obscene, or fraudulent material
• Complies with all applicable laws, regulations, and platform policies

MarketVog is not responsible for unlawful, inaccurate, or unauthorized User Content submitted to the Platform. You are solely and entirely liable for your User Content and all consequences arising from its submission and use.

The Platform and all related technologies remain the exclusive intellectual property of MarketVog and/or Ideal Extra Solutions (IES). This includes, without limitation, all software, AI systems, machine learning models, workflow architectures, automation logic, platform infrastructure, user interfaces, branding, logos, documentation, proprietary methods, and all systems comprising the AI-MOS.

Use of the Platform does not transfer any ownership rights in MarketVog intellectual property to users. You may not reproduce, redistribute, modify, create derivative works from, reverse engineer, resell, sublicense, or misappropriate any component of the Platform or its underlying technology.

Users retain ownership of their original uploaded materials and business content. However, MarketVog retains full ownership of all Platform technology, AI models, infrastructure, system logic, and proprietary features, including any improvements made to Platform systems arising from operational use.

Unauthorized use of MarketVog intellectual property may result in immediate account suspension, termination, and legal action including claims for damages and injunctive relief to the fullest extent permitted by applicable law.

MarketVog may offer subscription plans, premium services, and enterprise solutions at varying pricing tiers. Subscription pricing, usage base, usage limits, and included features are published on the Platform and may change from time to time with reasonable notice to existing subscribers.

By subscribing to any paid plan, you agree to:

• Provide accurate, valid, and current payment information
• Authorize MarketVog to charge your payment method for applicable fees
• Keep billing details current and promptly update any payment changes
• Pay all applicable taxes, surcharges, and fees associated with your plan

Subscriptions may renew automatically on a recurring basis unless you cancel before the renewal date through the Platform's account management features. You are solely responsible for managing your subscription, monitoring renewal dates, and cancelling in advance if you do not wish to continue. MarketVog reserves the right to modify pricing, plans, or features with prior notice. Failure to maintain payment obligations may result in restricted access, suspension, or termination of your account.

MarketVog may offer a free starter plan or limited-access experience to allow prospective users to explore Platform features and assess suitability before committing to a paid subscription. Starter plans may include limited usage quotas, restricted feature access, reduced output limits, or capped functionality determined at MarketVog's sole discretion.

MarketVog reserves the right to modify, restrict, or discontinue free plan availability at any time without notice. Access to a free plan does not create any entitlement to continued free access, future pricing arrangements, or specific feature availability. All use of a free plan remains governed by these Terms in their entirety.

MarketVog does not provide refunds based on dissatisfaction, subjective expectations, business outcomes, campaign performance, reduced usage, unused features, or misunderstanding of Platform functionality or capabilities.

Non-refundable items include, without limitation:

• All subscription charges and recurring billing cycles
• Auto-renewal charges where cancellation was not processed before the renewal date
• Upgrades, plan changes, usage-based charges, and add-on feature purchases
• Partial billing periods or unused time within an active subscription period
• Any access to features or services already granted during a billing period

You are responsible for reviewing Platform capabilities, plan features, and pricing before subscribing. Nothing in this section limits statutory consumer rights that cannot be lawfully excluded under the applicable laws of your jurisdiction.

You may cancel your subscription at any time through the Platform's account management features. Cancellation stops future billing charges but does not entitle you to refunds for prior charges. Access to paid features typically continues until the end of the current billing period unless otherwise stated.

MarketVog reserves the right to suspend or terminate accounts, with or without prior notice depending on severity of the violation, where users:

• Violate these Terms or any incorporated policy or guideline
• Engage in abuse, fraud, manipulation, or harmful conduct on the Platform
• Create security risks or attempt to compromise Platform systems or data
• Engage in activity that violates any applicable law or regulation
• Interfere with other users' access to or enjoyment of the Platform
• Fail to meet payment obligations following reasonable notice

Upon termination or account closure: Platform access ceases immediately; stored data may be deleted in accordance with MarketVog's data retention policies; all licenses granted under these Terms terminate; and any outstanding payment obligations remain fully enforceable. Termination does not relieve you of liability for activity occurring prior to termination.

MarketVog may integrate with or provide access to third-party services, platforms, APIs, payment processors, analytics providers, communication tools, social media platforms, and other external systems. Examples may include Meta platforms, Google services, Stripe, HubSpot, Slack, and similar services.

Your use of third-party services is governed solely by the terms, policies, and agreements of those respective providers. MarketVog does not control and is not responsible for the availability, reliability, accuracy, functionality, privacy practices, or conduct of any third-party service.

Third-party service disruptions, policy changes, deprecations, or outages may affect Platform functionality. MarketVog is not liable for any damages, losses, or service interruptions arising from third-party service failures or unilateral changes by third-party providers.

MarketVog may allow users to connect social platforms and third-party accounts, including LinkedIn, X, Instagram, Facebook, and other supported services, so that MarketVog can assist with content publishing, scheduling, media uploads, account or Page selection, performance monitoring, and related marketing workflows.

When you connect an integration, you authorize MarketVog to use the granted permissions and tokens to perform the actions you request or enable inside the Platform. Depending on the integration and available permissions, those actions may include:

• Discovering connected accounts, Pages, organizations, business assets, or publishing destinations
• Storing encrypted access tokens, refresh tokens where supported, token expiration data, and connection metadata
• Uploading media and publishing approved or scheduled content on your behalf
• Retrieving post, Page, account, or campaign performance data where permitted
• Displaying publishing status, errors, analytics, and integration health inside MarketVog
• Refreshing or revoking authorization tokens where supported by the provider

You remain fully responsible for all content published through connected integrations, including captions, images, videos, claims, offers, hashtags, links, targeting choices, and any legal or regulatory obligations that apply to your business or industry. MarketVog may assist with drafting, scheduling, and automation, but you are responsible for reviewing and approving content before publication.

You agree not to use MarketVog integrations to publish unlawful, deceptive, infringing, harmful, spammy, misleading, discriminatory, or unauthorized content, or to violate the terms, community standards, developer policies, advertising rules, API rules, or data-use requirements of any connected platform. MarketVog may suspend or disable integrations where we believe continued use creates legal, security, platform-policy, or reputational risk.

Third-party platforms may approve, reject, limit, remove, throttle, review, or otherwise control content and API access according to their own rules. MarketVog does not control platform review decisions, platform algorithms, permission approvals, rate limits, account restrictions, outages, or policy changes. Integration availability may change at any time due to provider decisions, technical changes, product review requirements, account permissions, or API limitations.

You may disconnect integrations through MarketVog settings where supported. Disconnecting stops MarketVog from using that connection for future publishing or analytics synchronization. It does not automatically delete content already published on third-party platforms, cancel actions already accepted by a provider, or remove data retained by the third-party platform under its own policies.

MarketVog strives to provide reliable access to the Platform but does not guarantee uninterrupted, continuous, or error-free operation. The Platform may experience scheduled or unscheduled downtime due to maintenance, upgrades, security events, infrastructure issues, or circumstances beyond our control.

MarketVog reserves the right to modify, update, add, suspend, or discontinue any Platform feature, service, or functionality at any time, with or without advance notice, as part of our ongoing commitment to Platform development, security, and improvement. MarketVog is not liable for losses or disruptions arising from such modifications or service changes.

Marketing outcomes depend on numerous external variables entirely outside MarketVog's control, including:

• General market conditions, competitive landscape, and economic environment
• Quality of your business, product, service offering, and value proposition
• User decisions, implementation quality, and operational execution of recommended strategies
• Third-party platform algorithms, policy changes, and technical restrictions
• Target audience behavior, preferences, and external economic influences
• Accuracy, completeness, and quality of information provided to the Platform

No statement, representation, case study, testimonial, projection, or communication from MarketVog shall be construed as an earnings guarantee, financial promise, investment advice, or guaranteed commercial outcome. This protection applies to all AI outputs, recommendations, content, automations, strategy assistance, and Platform guidance of any kind.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND.

To the fullest extent permitted by applicable law, MarketVog and Ideal Extra Solutions (IES) expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including without limitation:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties of non-infringement, title, or quiet enjoyment
• Warranties of uninterrupted service, uptime, or error-free availability
• Warranties of accuracy, completeness, or reliability of AI-generated outputs
• Warranties regarding compatibility with third-party systems, devices, or services
• Warranties that the Platform will meet every specific business requirement or produce desired outcomes

No advice, communication, or representation from MarketVog — oral or written — creates any warranty beyond those expressly stated in these Terms. Your use of the Platform is entirely at your own discretion and risk.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MARKETVOG, IDEAL EXTRA SOLUTIONS (IES), AND THEIR RESPECTIVE AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY OF THE FOLLOWING:

• Lost profits, lost revenue, lost business opportunities, lost data, damage to goodwill, or reputational harm of any kind
• Indirect, incidental, special, punitive, exemplary, or consequential damages
• Service interruptions, downtime, integration failures, or system malfunctions
• Inaccurate, incomplete, or inappropriate AI-generated outputs, automation behavior, or content
• Third-party service failures, outages, or unilateral policy changes
• Social platform permission denials, token expiration, posting failures, account restrictions, content removals, API limits, or provider review decisions
• Unauthorized account access or data breaches resulting from your failure to maintain credential security
• Business outcomes, campaign performance, marketing results, or financial consequences of any kind

These limitations apply regardless of the legal theory asserted — including contract, negligence, tort, strict liability, statute, or equity — and regardless of whether MarketVog has been advised of the possibility of such damages.

You agree to defend, indemnify, and hold harmless MarketVog and Ideal Extra Solutions (IES), including their affiliates, officers, directors, employees, contractors, partners, and licensors ("MarketVog Parties"), from and against any and all claims, liabilities, damages, losses, costs, expenses, and reasonable attorneys' fees arising from or relating to:

• Your use or misuse of the Platform or any of its features or outputs
• Your violation of these Terms or any applicable law or regulation
• Your User Content, including any intellectual property infringement or third-party rights claims
• Marketing campaigns, content, or communications you deploy using Platform-generated outputs without adequate human review
• Business decisions you make based on AI-generated recommendations, strategy outputs, or Platform analytics
• Claims brought by third parties arising from your conduct, your business operations, or your use of the Platform
• Your violation of third-party rights, platform policies, or applicable advertising or marketing regulations
• Your connection, authorization, or use of third-party social accounts, Pages, organizations, business assets, or publishing destinations through MarketVog

MarketVog reserves the right to assume exclusive control of any matter subject to indemnification at your expense. You agree to cooperate fully with MarketVog in the defense or settlement of any such claim.

These Terms shall be governed by and construed in accordance with the laws of the United States of America, without regard to conflict-of-law principles. Where state-level law applies, the laws of the applicable jurisdiction shall govern.

Before initiating any formal legal proceedings, you agree to contact MarketVog in good faith and allow a minimum of thirty (30) days to attempt informal resolution of any dispute. Disputes that cannot be resolved informally may be addressed through binding arbitration, mediation, or litigation in a court of competent jurisdiction as determined by MarketVog.

Class Action Waiver: To the fullest extent permitted by applicable law, you waive any right to pursue claims against MarketVog on a class action, collective, consolidated, or representative basis. All claims must be brought individually.

Nothing in this section prevents MarketVog from seeking injunctive relief, emergency legal remedies, intellectual property protection, or other equitable remedies in any court of competent jurisdiction without prior notice.

MarketVog shall not be liable for any failure or delay in performance of obligations resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, earthquakes, floods, war, terrorism, civil unrest, government actions or sanctions, cyberattacks, infrastructure failures, internet outages, power disruptions, epidemics, pandemics, third-party service outages, or any other extraordinary event outside MarketVog's direct control ("Force Majeure Events").

Performance obligations suspended due to Force Majeure Events shall resume within a reasonable time after conditions permit, without liability to either party for the period of suspension.

Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to render it enforceable, or severed if modification is not reasonably possible. The remaining provisions continue in full force and effect.

Entire Agreement. These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and MarketVog regarding your use of the Platform and supersede all prior or contemporaneous agreements, representations, warranties, or understandings of any kind.

Waiver. MarketVog's failure or delay in enforcing any right or provision of these Terms shall not constitute a waiver of that right or provision now or in the future.

Assignment. You may not assign or transfer your rights or obligations under these Terms without MarketVog's prior written consent. MarketVog may freely assign these Terms in connection with a merger, acquisition, sale of assets, or corporate restructuring without restriction.

Headings. Section headings are provided for navigational convenience only and do not affect the legal interpretation of these Terms.

By creating an account and using the Platform, you consent to receive electronic communications from MarketVog, including account notices, billing information, security alerts, policy updates, service announcements, and other operational communications. You agree that electronic communications satisfy any legal requirement that such communications be provided in writing.

You may opt out of certain non-essential marketing communications, but you acknowledge that transactional, security, billing, and legal notices are required for proper account operation and may continue regardless of your communication preferences.

MarketVog reserves the right to update or modify these Terms at any time. Changes may occur due to legal requirements, Platform development, business operational changes, or evolving AI technology and regulatory environments. Updated Terms become effective upon publication on the Platform unless otherwise stated.

You are responsible for reviewing these Terms periodically. Where legally required, MarketVog will provide reasonable advance notice of material changes. Your continued use of the Platform following the publication of updated Terms constitutes your acceptance of and agreement to the revised Terms in their entirety.
